    Article 1. Introduction


    Name

    The Association shall be called the Victoria Nursery and Kindergarten Parent-Teacher Association ("the Association")

  • To Secure better co-ordination between home education and school education.
  • To strengthen the relationship between teachers and parents.
  • To assist in promoting extra-curricular activities.


    Article 2. Membership


    2.1 Type

    Ordinary membership shall be open to:

    • all parents or guardians of pupils currently enrolled in the school.
    • parents of students who have left the school within the past two years.
    • the present School Manager(s), School Supervisor(s), Principal and Teachers.

    Honorary membership shall be open to:

    • past School Manager(s), School Supervisor(s) and Principal who have resigned from the Victoria Nursery/Kindergarten within thw past two years.
    • past Chairman and Executive Committee Members of thw Association who have resigned within the past two years.

    Subsidiary members

    • parents of students who have left the school for more than two years.

    2.2 Rights and Duties


    Ordinary Members

    • All ordinary members shall have the rights to vote at all general meetings of the Association and shall be eligible to be elected as member of the Executive Committee of the Association. Each parent member (irrespective of the number of children studying in this school) shall have one vote at all meetings.
    • To participate in all activities of the Association.

    Honorary Members

    • All honorary members shall have the rights to vote at all general meetings of the Association and shall not be eligible to elect or be elected as member of the Executive Committee of the Association.
    • To participate in all activities of the Association.

    Subsidiary members

    • To participate in all activities of the Association.

    2.3 Executive Committee reserves the decisive right to determine the eligibility of membership.

    2.4 All Members shall abide by the Constitution of the Association and obey the decisions made at the General Meeting.

    Article 3. Organization


    3.1 Structure

    • The Association shall be constituted by General Meeting(s) and the Executive Committee.

    3.2 General Meeting

    • The General Meeting shall be the highest authority of the Association and composed of all the members. When the general Meeting is in recess, all matters of the Association shall be managed by the Executive Committee.
    • A General Meeting shall be held at least once every year.
    • The quorum for all General Meeting shall be 50 members with minimum 34 parent-members and 16 teacher-members. Should the quorum not be met half an hour after the time appointed for the meeting, the meeting will be called off. It shall stand adjourned to the same day at the same time in 2 weeks. The number of members present within 15 minutes after the appointed time for the adjourned meeting would constitutes as the quorum for that meeting.

    3.3 Annual General Meeting

    • The Annual General Meeting shall be held as early in the academic year as possible, and in any case not later than the 30th October in each year 21. days written notice of such meeting shall be given to all members.
    • Extra-Ordinary General Meetings may be called on receipt of a written request form at least 50 members of the Association stating the subject(s) for discussion. 14 days written notice of such meeting shall be given to all members.
    • The quorum for all General Meetings shall be 50 members with minimum 34 parent-members and 16 teacher-members. Should the quorum not be met half hour after the time appointed for the meeting, the meeting will be called off. It shall stand adjourned to the same day at the same time 2 weeks later. The number of members present within 15 minutes after the appointed time constitutes the quorum at the adjourned meeting.
    • The Chairman of the Executive Committee will be the Chairman of the general meeting(s). The Chairman of the general meeting(s) shall have the right to vote, elect and approv.

    • At the meeting, the Chairman shall
      • report on the general affairs;
      • report on the financial situation of the Association;
      • conduct the election of members serving on the Executive Committee for the coming years;
      • obtain approval for any changes to the Constitution;
      • handle any matters suggested by the Executive Committee.

    • Proxy is acceptable at any general meeting(s). The representatives must present the letter of authorization at the meeting(s).
    • In any general meeting, a majority of the members voting at the meeting shall be decisive. There are two ways to vote: show-of-hand or ballot-voting. When both sides have equal number of votes, the Chairman shall have the determinative casting vote.

    3.4 Executive Committee

    • Function

      • Execute the decision(s) made in the Annual General Meeting;
      • Set up the annual budget;
      • Manage the daily operation of the Association;
      • Report on the general affairs of the Association at the annual general meeting;
      • Report on the financial situation of the Association at the annual general meeting;
      • Determine and organize all the activities for the year.


    • Composition

      The Executive Committee shall be composed of 57 members, 38 of whom are parent-members and 19 are teacher-members. The composition is as follow:

      The Principal is the Consultant of the Executive Committee.



    • Appointment

      • All Executive Committee Members shall be elected in the Annual General Meeting.
      • After the annual General Meeting, the Ex-Executive Committee will serve as non-managing executive members while the newly elected Executive Committee will be the managing executive members. The preceding and present Executive Committee shall jointly hold the first meeting to elect the office-bearers of the Executive Committee.
      • The election of the office-bearers of the Executive Committee should be completed at the first Executive committee meeting. Each term is one year. All Executive Committee members shall be eligible for re-elected for no more than three consecutive term(s). If an Executive Committee members has not been re-elected, he/she can remain as non-managing executive member.
      • The present School Manager(s) and School Supervisor(s) will become the consultant(s) of the Association.
      • The present Principal will become the President of the Association.
      • The Executive Committee can invite educators and others who have contributions to the School as honorary consultants.
      • Past chairman of the Association who completed his term of office within the past two years will be invited as honorary chairman. The term is two years. The duty of honorary chairman is to assist the new chairman in managing the affairs in the Association.



    • Nomination

      • A Nomination Committee shall be formed two months before the Annual General Meeting. Selected Members of the Executive Committee will serve as the members of this Nomination Committee.
      • The Nomination Committee shall contacts the Ordinary Members after its formation so as to draw up a list of members who are willing to stand for election. Such a list should be sent with the notice of the Annual General Meeting to each member.


    • Vacancy

      • If the position of the Chairman becomes vacant, one of the Vice-Chairmen will be elected by the Executive Committee to be in office.
      • If the position of the Vice-Chairman becomes vacant, one of the Executive Committee members will be elected to be in office.
      • If the position of Treasurer or the position of Secretary becomes vacant, the Committee can ask the Ordinary members be the replacement or alternatively has one or more of the Committee members to serve the roles.
      • If the manager of the teams becomes vacant, the vice-manager will be the replacement.



    • Committee Meeting and Quorum

      • There should be at least 3 Executive Committee meetings in each term. The Chairman of Executive Committee and President of the Association shall determine the dates of the meetings.
      • The quorum for any Executive Committee meeting shall be 19, 13 of which shall be parent-members and 6 shall be teacher-members.
      • All consultants can attend the meetings but have no right to vote or elect.



    Article 4. Finance

    4.1 Member Subscription Fees

    • Membership fee shall be determined by the Executive Committee Meeting.
    • Parent-Members shall pay their Membership Fee every year within the first four weeks following the commencement of the School year.
    • All Membership Fees once remitted are non-refundable.

    4.2 Management of the Fund

    • All fund s belonging to the Association shall be deposited into saving account(s) of Hong Kong Licensed Bank(s) authorized by the Executive Committee.
    • All cheques drawn on such back account(s) shall be signed by the Chairman and counter-signed by a Vice-Chairman.
    • Any expenditure over $2000 must be ratified and approved by the Executive Committee.
    • At the dissolution of the Association, all funds of the Association will be retained by the Victoria Nursery and Kindergarten.


    Article 5. Cessation of Membership

    The Executive Committee shall have the authority to issue warning letter and/or to terminate the membership of the members under the following conditions:

    • Members whose child/children are no longer a student(s) of the School, and teacher members who is no longer in employment shall automatically cease to be ordinary members; or
    • Membership shall be terminated if the Membership Fee is not rendered at the stated date.
    • Membership shall be terminated if the member violates any Articles of this Constitution.
    • Membership shall be terminated if the member is convicted with any criminal offense.
    • Membership shall be terminated if the member misrepresents, forges or misuse the image and goodwill of the Association which harmed the reputation of the Association; or
    • Membership shall be terminated if the member is or has become mentally disable.

    Article 6. Amendment to the Constitution

    • Any amendment to the Constitution must be approved by a two-third majority of members present in any general meeting.
    • Whenever amendment to he Constitution are desired, the Secretary shall submit a draft of the proposed amendment to the Registrar of Societies and the Director of Education and request their approval in accordance with the Societies Ordinance in force.
    • Such Amendment to the Constitution shall not be binding until written approval of the Director of Education and the Registrar of Societies has been obtained.

    Article 7. Limitations

    • The operations, management and policies and procedures of the Victoria Nursery and Kindergarten are not subject to the Articles of this Constitution or this Association.
    • Any matters arising from the interactions between the Victoria Nursery and Kindergarten teaching staff and individual student are subject to the supervision of the Principal.

    Article 8. Dissolution

    Should the Association be dissolved, the decision shall be assented to a two-third majority of members present at the Annual General Meeting or the Special General Meeting.


    THIS CONSTITUTION IS A DIRECT TRANSLATION OF THE CHINESE VERSION OF THE CONSTITUTION. IN NO EVENT SHALL VICTORIA NURSERY AND KINDERGARTEN VERIFY THIS TRANSLATION AS ACCURATE AND CONSISTENT WITH THE CERTIFIED CHINESE VERSION. IN THE EVENT OF ANY INCONSISTENCIES AND DISCREPANCIES, THE CHINESE VERSION OF THE CONSTITUTION SHALL BE THE CONTROLLING VERSION.
